A commercial real estate closing is the final and most critical step in purchasing or selling commercial property. It is the moment when all legal, financial, and administrative matters are finalized, and ownership is officially transferred from seller to buyer.

Commercial transactions are inherently complex, often involving significant property values, zoning and regulatory issues, lease agreements, environmental considerations, and business entities. As the title and escrow agent, DT Commercial serves as a neutral third party, holding all funds and documents in escrow until all conditions are satisfied and every party authorizes disbursement. Our experienced team works closely with buyers, sellers, brokers, lenders, attorneys, and other professionals to ensure that every detail is addressed and that your closing proceeds efficiently and smoothly.

Throughout the closing process, the team at Destination Title:

  • Ensure each party fulfills its obligations under the purchase agreement.
  • Clear title to the property so the buyer receives marketable and insurable title.
  • Provide lenders with a clean, comprehensive title insurance policy, protecting their financial interest in the property.

Once all conditions have been satisfied, DT Commercial manages the final disbursement of funds and documents, making the closing process efficient, accurate, and secure.

Key Steps in a Commercial Real Estate Closing

1. Purchase and sale agreement (PSA):
  • Details price, contingencies, timeline, and responsibilities.
  • Negotiated by attorneys and/or real estate brokers; often contains due diligence provisions.
2. Due diligence period
  • Buyer investigates the property: title, survey, zoning, environmental reports (Phase I ESA), leases, financials, etc.
3. Title and survey review
  • DT Commercial ensures clear ownership and identifies liens or encumbrances.
  • ALTA surveys confirm property boundaries, easements, and improvements.
4. Financing
  • Buyer secures commercial financing.
  • The lender conducts its appraisal and underwriting.   
5. Closing documents preparation
  • Deed, bill of sale, assignment of leases, estoppel certificates, loan documents (if applicable), title documents, closing statements, and corporate/entity resolutions.
  • DT Commercial will coordinate the organization of all closing documents to be signed, as the closing documents will come from various parties.
6. escrow and title insurance
  • Funds and documents are held in escrow by DT Commercial.
  • Title insurance is issued to protect the buyer (and lender) against past title defects.
7. final wALKTHROUGH AND COMPLIANCE CHECK
  • Buyer confirms property condition and compliance with PSA.
8. CLOSING DAY
  • Execution and exchange of all documents (in some cases, the closing documents will be signed before the closing date).
  • Transfer of funds via wire.
  • Title transfers: the deed is recorded with the appropriate county office.
  • Encumbrance: loan documentation recorded with the appropriate county office.
9. POST-CLOSING
  • Final title policies are to be issued to the buyer and lender.
